Licence Agreement

Revision date: 1 September 2026
This is a translation of the Russian original provided for convenience. In case of any discrepancy, the Russian version prevails.

This Licence Agreement (the “Agreement”) sets out the terms on which the User is granted the right to use the BuzzAI application (ZhuzhzhimII; the “Service”) and its paid features by way of remote access over the Internet.

The Agreement is concluded between Egor Andreevich Severinov (self-employed, payer of professional income tax, taxpayer ID (INN) 230813750501; the “Licensor”) and an individual — the User of the Service (the “User”).

Matters between the Licensor and the User not governed by this Agreement are governed by the Privacy Policy and the laws of the Russian Federation in force.

Before taking out a Subscription or paying for the recognition of a meeting, the User must read this Agreement. Obtaining access to the paid features of the Service in any form means that the User accepts the terms of the Agreement in full and without any limitation.

If the User does not agree with the terms of the Agreement or for any reason is not entitled to conclude it, the User should immediately stop using the paid features of the Service.

1. Terms and definitions

1.1. Service — the BuzzAI (ZhuzhzhimII) application for macOS, Windows, iOS and Android that converts the User’s speech into text (dictation) and records and recognises meetings using artificial intelligence models, together with the related online services hosted on the domain buzzai.ru.

1.2. Licensor — Egor Andreevich Severinov (self-employed, payer of professional income tax, INN 230813750501), the person granting the User the right to use the Service and its paid features.

1.3. User — an individual with legal capacity who concludes the Agreement in order to use the Service.

1.4. Premium Plus Subscription — the main paid option of the Service, granting the User, during the paid Subscription Period, the right to use the features of the Service that rely on the Licensor’s server infrastructure, within the limits set by the Licensor.

1.4.1. Premium Plus Subscription Limits — limits on the volume of processing that apply during the Subscription Period. The current limits are shown in the “Subscription” section of the Service. Any unused remainder of a limit is not carried over to the next Period and is not compensated.

1.5. Trial Period — a right, granted at the Licensor’s discretion, to use the Premium Plus Subscription features free of charge for a limited time.

1.6. Plan — the parameters of a Subscription (duration / price) applicable to the User at the time of payment.

1.7. Subscription Period — the paid duration of a Subscription: 7, 30, 90 or 365 calendar days depending on the chosen Plan. The set of available Periods may vary and is determined by the Licensor; the current list is shown in the Service.

1.8. Period Price — the full price of the chosen Plan applicable to the User at the time the Subscription was taken out, excluding any discounts granted for the first Period (personal discounts, promo codes, the introductory price under clause 4.1.7). The Period Price is fixed when the Subscription is taken out, is shown in the Service before payment, and does not change if the Licensor later changes its current Plans (clause 4.1.6).

1.9. Gift Balance — a volume of processing granted by the Licensor free of charge, expressed in the Service’s internal units (ø), which may be spent on features of the Service beyond the Subscription Limits or the free plan. The Gift Balance cannot be purchased, has no monetary value, cannot be exchanged for money and is not refundable or compensated.

1.10. Meeting — a recording of a conversation (an online call or an in-person meeting) made by the User with the Service or uploaded by the User to the Service for recognition.

1.11. Territory — the Russian Federation and other countries in which the Licensor provides access to the Service.

2. Subject of the Agreement

2.1. Under the Agreement the Licensor grants the User, on the terms of a simple (non-exclusive) licence, the right to use the Service and its paid features by way of remote access over the Internet within the functionality provided by the Service.

2.2. The right of use is granted within the Territory for the term corresponding to the Plan chosen by the User and, with respect to the recognition of an individual Meeting, for the time needed to perform such recognition.

2.3. The Licensor does not transfer any exclusive rights to the Service to the User. All exclusive rights to the Service, including the program code, design, name, graphic elements and databases, belong to the Licensor.

3. Registration, Trial Period and free plan

3.1. The User registers in the Service by one of the available methods: by email address with a confirmation code, by mobile phone number with a confirmation code (including via an incoming call, the Telegram bot @buzzai_bot or the Max messenger), or via Yandex ID or VK ID. The available methods are shown in the Service. By confirming registration by any of these methods, the User agrees to the terms of this Agreement.

3.2. The Licensor may, at its discretion, grant the User a Trial Period. The duration and content of the Trial Period, if granted, are shown in the Service. The Trial Period is granted once per User and does not renew automatically: when it ends, access to the paid features stops unless the User has taken out a Subscription.

3.3. The Licensor may refuse to grant a Trial Period, a Gift Balance or the free plan if there are signs that the same person has registered more than once (including a matching device, email address or external provider account).

3.4. Free plan. A User without an active Subscription may use the Service free of charge within limited quotas, the current values of which are shown in the Service. The Licensor may change the content and limits of the free plan or stop providing it by notifying Users under clause 9.2.

3.5. Gift Balance. The Licensor may, at its discretion, credit the User with a Gift Balance (including on registration). Processing for dictation is spent in the following order: first any balance previously purchased by the User, then the Gift Balance, then the Subscription Limits. The order of payment for Meeting recognition is set out in clause 4.2.2.

4. Paid features of the Service

4.1. Premium Plus Subscription

4.1.1. The Premium Plus Subscription is provided for the term corresponding to the Plan chosen by the User (the Subscription Period). The current list of Plans, their prices and content are shown in the Service at the time the Subscription is taken out.

4.1.2. The right of use is activated when the payment reaches the Licensor’s account and is valid for the paid Subscription Period within the Subscription Limits.

4.1.3. Automatic renewal. By taking out a Subscription with automatic renewal, the User gives the Licensor a prior acceptance (consent in advance) for recurring debits using the payment method previously used, in the manner set out in clause 4.1.4. The charge for the next Period is made within one day before or after the end date of the current Subscription Period. If the charge is made after the end date of the Period, access to the Subscription is maintained until the charge, and the new Period is counted from the end date of the previous one. Unless the User has cancelled automatic renewal, the Subscription is renewed for the next Period.

4.1.4. How the charge amount is determined. The amount covered by the prior acceptance is determined as follows:

4.1.4.1. On the renewal date the Licensor charges the Period Price (clause 1.8) for the next Subscription Period, unless otherwise provided by clauses 4.1.7 and 4.1.8.

4.1.4.2. If the charge under clause 4.1.4.1 fails (including due to insufficient funds, a refusal by the issuing bank or any other decline of the transaction), the Licensor may, no earlier than 1 (one) hour later, request a charge of part of the Period Price and extend the Subscription for the corresponding part of the Period. The size of that part depends on the Subscription Period:

4.1.4.3. The partial charge is calculated from the Period Price (clause 1.8), not from the price applicable to new Users at the time of the charge. The result is rounded down to the nearest whole rouble.

4.1.4.4. A partial charge does not change the Plan or the Subscription Limits: the Subscription keeps the previously chosen Period, is extended for the term stated in clause 4.1.4.2, and when that term ends the Licensor again requests a charge of the full Period Price under clause 4.1.4.1.

4.1.4.5. Repeated charge attempts. If neither the full nor the partial charge succeeds, the Licensor may repeat charge attempts as follows:

Each attempt may include a request for the full charge and, if it fails, a request for a partial charge under clause 4.1.4.2. If the reason given by the bank for the decline shows that the payment method cannot be charged (for example, the card has expired or permission to charge has been revoked), the Licensor may stop the attempts early. If no charge succeeds by the end of the second series, automatic renewal is disabled, the saved payment method is unlinked, the Subscription ends, and the User is given access on the terms of the free plan. The User may renew the Subscription in the Service at any time.

4.1.4.6. If a charge succeeds during the repeated attempts, the new Subscription Period is counted from the original renewal date. Days of the first series during which access was maintained count towards the new Period; days of the pause and the second series during which access was suspended do not count towards the new Period, and its end date is moved by that number of days.

4.1.4.7. The total amount charged for one Subscription Period may not exceed the Period Price.

4.1.5. Cancelling automatic renewal and the use of payment details. The User may at any time cancel automatic renewal of the Subscription and withdraw permission for the Licensor to use the previously provided bank account details or electronic payment means for recurring payments. Cancellation is accepted electronically in the “Subscription” section of the Service or via the link in the payment email. From the moment the cancellation is received, the Licensor stops all charges, including repeated attempts (clause 4.1.4.5) and partial charges (clause 4.1.4.2). If the cancellation is received before the end of the paid Period, the Subscription remains active until the end of that Period and then ends. If the cancellation is received after the end of the paid Period (including during repeated charge attempts), the Subscription ends when the cancellation is received: days provided beyond the paid Period while awaiting the charge are not kept.

4.1.6. Price lock. The Period Price is fixed when the Subscription is taken out. Subsequent changes by the Licensor to its current Plans do not affect the renewal price of a Subscription already taken out.

4.1.7. First-Period discounts and the introductory Period. The Licensor may offer a Subscription with a discount on the first Period (personal offers, promo codes) or with a reduced price for the first Period (introductory Period). The discount or reduced price applies to the first Period only; renewal is charged at the Period Price (clause 1.8). For an introductory Period, the renewal price may differ from the Plan price in the store front — it is shown in the Service before payment and is the Period Price for such a Subscription. The price and duration of the first Period and the price of subsequent renewals are shown to the User in the Service before payment. The introductory Period is granted once per User.

4.1.8. Discount on cancelling renewal. The Licensor may offer a User who has started to disable automatic renewal to keep the Subscription with a discount on the next renewal. The discount applies once; subsequent renewals are charged at the Period Price. Taking out a new Subscription or switching to another Plan before the next renewal cancels the unused discount.

4.1.9. Switching to a longer Plan (upgrade). A User with an active paid Subscription may switch to a Plan with a longer Period without waiting for the current Period to end. The price of the switch is calculated as: (price of the new Plan − credit) × 1.1, where the credit is the part of the amount actually paid by the User for the current Period proportional to the unused remainder of that Period; for a Period previously paid by a switch, the credit is calculated from the Period Price. If the switch is paid while a renewal is pending (clause 4.1.3), its price equals the price of the new Plan without credit or surcharge. The final price of the switch is shown in the Service before payment. After payment the remainder of the current Period ends, the new Period starts from the moment of payment, and the Period Price becomes the full price of the new Plan (without the surcharge), at which subsequent renewals are charged. Switching is not available for Subscriptions purchased through app stores, Subscriptions undergoing repeated charge attempts, the Trial Period, and Subscriptions granted by the Licensor free of charge.

4.2. Meeting recognition

4.2.1. The Service allows the User to record Meetings and to recognise them either locally on the User’s device (without sending the recording to the Licensor’s servers and free of charge) or using the Licensor’s server infrastructure (cloud recognition with speaker separation and a summary). The available modes, their content and price are shown in the Service before recognition starts.

4.2.2. Cloud recognition of a Meeting is paid for in the following order: the remainder of the Limits of a paid Subscription for the current Period, any balance previously purchased by the User, then the Gift Balance. If these are insufficient, the User may pay the missing part by bank card (top-up payment). Certain recognition modes may be paid for in full by bank card at a per-minute rate. The price of a top-up payment and of such modes is determined by the length of the recording and the chosen mode and is shown in the Service before payment.

4.2.3. When paying by card, the User agrees to an authorisation hold on the card for an amount calculated from the declared length of the recording with a margin; the amount to be held is shown before payment. After recognition, the actual price is charged to the card — for a top-up payment, only the price of the part not covered by the Subscription Limits and the balance — but no more than the amount held; the remainder is released. A top-up payment is spent on the recognition of the specific Meeting and is not credited to the User’s balance. If recognition is not performed for any reason, or is fully covered by the Subscription Limits and the balance, the entire amount held is released. The release is carried out by the issuing bank within the time set by its rules.

4.2.4. The User may save the card for later payments for Meeting recognition. By saving the card, the User gives prior acceptance for holds and charges for Meeting recognitions that the User starts in the Service, without re-entering card details. No charges for Meetings are made without an action of the User (starting a recognition). The User may withdraw permission to use the saved card in the Service or by contacting the Licensor using the details in section 12.

4.2.5. The User is solely responsible for the lawfulness of recording a Meeting, including notifying participants that a recording is being made and obtaining their consent where required by law, and is responsible for the use of the recording and the results of its recognition.

4.3. Payment

4.3.1. Payment for the paid features of the Service is made through the YooKassa payment service (NBCO YooMoney LLC) in all applications of the Service, except as provided in clause 4.4. Relations connected with payment processing are governed by the YooKassa rules.

4.3.2. The Licensor does not receive or store the User’s full payment card details.

4.3.3. Prices are stated in Russian roubles inclusive of all applicable taxes under the laws of the Russian Federation. A receipt is generated in accordance with the law on professional income tax and is available to the User in the Service.

4.4. Payment through app stores

4.4.1. A User of the Android application whose Google Play account is registered outside the Russian Federation may be offered a Subscription through Google Play. The price of such a Subscription is set by Google Play for the country of the account and is shown to the User before the purchase is confirmed.

4.4.2. A Subscription purchased through Google Play, or previously through the App Store, is renewed, cancelled and refunded under the rules of the respective store: automatic renewal is cancelled in the store account settings, and disabling automatic renewal in the Service does not apply to such a Subscription. Clauses 4.1.4, 4.1.5 and 4.1.7–4.1.9 do not apply to such Subscriptions.

4.4.3. The Licensor’s discounts, promo codes, personal and retention offers do not apply to purchases through app stores.

4.4.4. When paying through an app store, the Licensor does not receive the User’s payment details: the Licensor receives only the confirmation of the purchase and information about its status (renewal, cancellation, refund).

4.4.5. Access to paid features is tied to the User’s account in the Service, not to a device: having paid for a Subscription on any supported platform, the User can use it on all of their devices under the same account.

5. Refunds

5.1. Since the subject of the Agreement is the grant of a right to use a result of intellectual activity, the provisions on returning goods of adequate quality (Article 25 of the Russian Law “On Consumer Rights Protection”) do not apply to the Agreement.

5.2. The price of a paid Subscription Period and of a paid Meeting recognition is not refundable, except in cases expressly provided by the laws of the Russian Federation or where the Licensor decides on its own initiative to make a refund.

5.3. If a recurring payment was charged after the User cancelled automatic renewal or withdrew permission to use the relevant payment details (clause 4.1.5), the Licensor refunds the amount charged in full, less the cost of the period actually used by the User. The refund request is sent to the email address stated in section 12; the refund is made to the same payment method within the time set by the laws of the Russian Federation.

5.4. The provisions of this section do not limit the User’s rights under the Russian Law “On Consumer Rights Protection”, including the right to withdraw from the Agreement at any time.

5.5. Refunds for a Subscription purchased through an app store are made by the store under its rules; the User submits the request to the store directly. The Licensor has no technical means of refunding such a payment.

6. Rights and Obligations of the Parties

6.1. The User undertakes:

6.2. The Licensor may:

6.3. The Licensor may send the User information about the development of BuzzAI, its functionality, updates and changes, as well as advertising and informational messages about its own products, plans and special offers (promotions, promo codes, discounts). The User consents to receiving such messages via the contact details they have provided — email address, phone number and linked channels (Telegram, Max) — including by email, SMS, push notifications and other mailings of an informational or advertising nature. The User may opt out of advertising mailings at any time using the “Unsubscribe” link in the message or by contacting the Licensor using the details in section 12. Opting out does not apply to service messages relating to the performance of this Agreement (payment, security and terms-change notices).

7. Warranties and Liability

7.1. The Service is provided “as is”. The Licensor does not warrant error-free or uninterrupted operation of the Service, or that the Service will meet the User’s particular purposes and expectations, and gives no other warranties not expressly stated in the Agreement.

7.2. Speech recognition is performed by artificial intelligence models of third-party providers. The Licensor is not liable for the quality, accuracy or completeness of recognition, or for the content of the texts produced by a model.

7.3. The Licensor is not liable for direct or indirect losses of the User or third parties caused by the use of, or inability to use, the Service, except in cases expressly provided for by the law of the Russian Federation.

7.4. The Licensor’s aggregate liability to the User on any ground connected with this Agreement is limited to the amount actually paid by the User to the Licensor during the six months preceding the ground for the claim.

8. Service Updates

8.1. The Licensor may, at its discretion, release updates to the Service and add, change or remove individual features.

8.2. The terms of this Agreement apply to all updates and new versions of the Service unless a separate licence agreement accompanies such an update.

9. Changes to the Terms of the Agreement

9.1. The Licensor may, at its discretion, change the terms of this Agreement. A new revision takes effect once published at https://buzzai.ru/license.html, unless the revision itself states a different date.

9.2. If the User uses automatic renewal, the Licensor notifies the User of changes to Plans and of terms affecting the price of the Subscription no later than 7 (seven) calendar days before the changes take effect — by email, push notification, a message in the Telegram bot or another available means.

9.3. Continued use of the paid features of the Service after the changes take effect constitutes acceptance of the new revision of the Agreement.

10. Term and Termination

10.1. The Agreement is in effect from the moment the User accepts its terms until the User ceases to use the Service or the Licensor discontinues the Service.

10.2. The User may at any time stop using the Service and delete their account in the application settings or by sending a request to the email address given in section 12 (the procedure is described at buzzai.ru/delete-account.html). Deleting the account does not cancel an active Subscription purchased through an app store: it must be cancelled in the store.

11. Applicable Law and Dispute Resolution

11.1. The Agreement is governed by and construed in accordance with the law of the Russian Federation.

11.2. Disputes arising out of this Agreement are subject to a pre-action claim procedure. The time for responding to a claim is 30 calendar days from its receipt.

11.3. If a dispute cannot be resolved through the claim procedure, it shall be referred to a court at the Licensor’s location in accordance with the jurisdiction rules established by the law of the Russian Federation.

11.4. If for any reason individual provisions of the Agreement become invalid, this does not affect the validity of the remaining provisions.
